By using our website, requesting services, approving a proposal, submitting payment, or otherwise engaging McGraw Interiors, you acknowledge that you have read and agree to these Terms, together with any project-specific proposal, scope of work, contract, or other written agreement between you and McGraw Interiors.

The exact services included in a project will be identified in the applicable proposal, contract, scope of work, or other written agreement.

Services not specifically included in the agreed scope may require an additional fee.

2. Proposals and Scope of Work

Project proposals, estimates, design plans, and scopes of work are based on information available to McGraw Interiors at the time they are prepared.

Changes to the project scope, property conditions, client requests, product availability, construction requirements, vendor pricing, or other circumstances may affect the project's cost and timeline.

Any services requested outside the original scope may be considered additional services and may be billed separately.

3. Design Fees and Payment

Design fees will be established in the applicable proposal or service agreement.

Depending on the project, McGraw Interiors may require:

  • A consultation fee;

  • An initial deposit or retainer;

  • Progress or milestone payments;

  • Hourly design fees;

  • Flat project fees;

  • Procurement or purchasing fees;

  • Installation or styling fees; and/or

  • Other charges described in the project agreement.

Unless otherwise stated in writing, invoices are due according to the payment terms shown on the applicable invoice or proposal.

McGraw Interiors reserves the right to pause design work, procurement, ordering, installation coordination, or other services when an account has an outstanding balance.

4. Deposits and Retainers

A deposit or retainer may be required before McGraw Interiors reserves project time or begins services.

The applicable proposal or service agreement will identify whether a payment is refundable or nonrefundable and whether it will be credited toward future services.

Once design work has begun, amounts attributable to services already performed, project time reserved, approved purchases, custom orders, administrative costs, or other incurred expenses may not be refundable, subject to applicable law.

5. Client Approval

McGraw Interiors will seek client approval at appropriate stages of the design process.

The client is responsible for carefully reviewing selections, specifications, quantities, dimensions, finishes, colors, pricing, drawings, layouts, and other information before providing approval.

Once a client approves a selection or authorizes McGraw Interiors to place an order, changes or cancellations may result in additional fees and may not be possible.

Electronic approvals, including approval by email, text message, client portal, electronic signature, or another mutually accepted electronic method, may be treated as written authorization.

6. Revisions and Design Changes

The number of revisions included in a project may be specified in the client's proposal or service agreement.

Additional revisions, significant changes in design direction, changes after approval, or requests outside the agreed scope may result in additional design fees.

McGraw Interiors will notify the client when reasonably practicable if a requested change is expected to result in additional charges.

7. Procurement and Product Purchases

When McGraw Interiors assists with purchasing furniture, fixtures, artwork, accessories, textiles, lighting, materials, or other products, the purchasing arrangement will be determined by the applicable project agreement.

McGraw Interiors may purchase items for resale to the client, facilitate purchases directly between the client and a vendor, or otherwise assist with procurement as agreed.

Pricing may include applicable procurement fees, freight, shipping, receiving, storage, delivery, handling, installation, taxes, and other project-related charges.

Product prices and availability are subject to change until an order has been placed and confirmed.

8. Custom and Special-Order Merchandise

Custom, made-to-order, special-order, personalized, altered, cut, fabricated, or otherwise specially sourced merchandise may be noncancelable and nonrefundable once ordered.

This may include, without limitation:

  • Custom furniture;

  • Upholstery;

  • Window treatments;

  • Rugs;

  • Fabric;

  • Wallpaper;

  • Custom cabinetry;

  • Lighting;

  • Artwork;

  • Specialty finishes; and

  • Made-to-order accessories.

The client acknowledges that custom products may have extended production and delivery times.

9. Product Variations

Natural and manufactured products may vary in appearance.

Variations in wood grain, stone, marble, leather, fabric, metals, handmade products, finishes, dye lots, texture, coloration, dimensions, and other characteristics may occur.

Computer screens, photographs, samples, renderings, and printed materials may also display colors differently from the actual product.

Reasonable variations of this nature are not considered defects.

10. Shipping, Freight and Delivery

Shipping and delivery estimates are estimates only.

McGraw Interiors cannot guarantee manufacturer, freight carrier, shipping company, receiving warehouse, or third-party delivery schedules.

The client understands that furniture and interior design products may experience delays caused by manufacturing schedules, supply-chain disruptions, backorders, customs, freight transportation, weather, labor issues, material shortages, or other circumstances outside McGraw Interiors' reasonable control.

McGraw Interiors will make reasonable efforts to communicate material delays of which it becomes aware.

11. Returns, Exchanges and Cancellations

Return and cancellation rights vary by vendor and product.

Products that are custom, special-order, final-sale, clearance, altered, installed, used, or purchased through certain trade vendors may not be returnable.

When a return is permitted, the client may be responsible for restocking fees, return shipping, freight, delivery fees, processing costs, and other charges imposed by the vendor or incurred in connection with the return.

Original shipping, freight, delivery, receiving, storage, installation, and similar charges may be nonrefundable.

12. Damaged or Defective Products

Clients should inspect delivered merchandise as soon as reasonably possible.

Damage, missing items, defects, or incorrect products should be reported to McGraw Interiors promptly so that McGraw Interiors can assist with the applicable vendor or carrier claim process.

Remedies for defective or damaged merchandise may be subject to the manufacturer's, vendor's, freight carrier's, or supplier's policies and warranties.

McGraw Interiors does not manufacture third-party merchandise and cannot independently guarantee a manufacturer's decision regarding a warranty or damage claim.

13. Contractors and Third-Party Vendors

Interior design projects may involve contractors, installers, electricians, plumbers, painters, carpenters, movers, delivery companies, receiving warehouses, architects, engineers, fabricators, manufacturers, and other independent third parties.

Unless specifically stated otherwise in writing, these parties are independent businesses and are not employees of McGraw Interiors.

Clients may enter into separate agreements directly with contractors or vendors.

McGraw Interiors may recommend or coordinate with third-party providers but does not guarantee the workmanship, scheduling, pricing, licensing, insurance, acts, omissions, or performance of independent third parties.

Nothing in these Terms limits responsibility that cannot legally be limited under applicable law.

14. Construction and Site Conditions

Interior design services do not constitute architectural, engineering, structural, electrical, plumbing, or other licensed professional services unless expressly provided by an appropriately licensed professional.

The client is responsible for engaging qualified professionals when such services are required.

Unexpected site conditions, construction conditions, code requirements, structural conditions, concealed conditions, or contractor recommendations may require modifications to the original design.

15. Measurements

McGraw Interiors will use reasonable care when obtaining or relying upon project measurements.

When measurements are supplied by the client, contractor, architect, vendor, builder, or another third party, McGraw Interiors may rely upon the information provided.

Certain custom products may require field verification by the manufacturer, fabricator, installer, or contractor before production.

16. Project Timelines

Any completion date or project schedule provided by McGraw Interiors is an estimate unless expressly guaranteed in a separate written agreement.

Project timelines may be affected by client approval times, construction schedules, vendor availability, manufacturing, product lead times, shipping, installation availability, weather, site access, third-party performance, and circumstances outside McGraw Interiors' reasonable control.

17. Client Responsibilities

The client agrees to:

  • Provide accurate project and property information;

  • Communicate budget expectations;

  • Make selections and approvals in a timely manner;

  • Provide reasonable access to the project site;

  • Disclose relevant property or construction conditions known to the client;

  • Maintain a safe project environment;

  • Make payments when due;

  • Review project documentation and approvals carefully; and

  • Communicate material concerns promptly.

Client delays may result in changes to the project schedule and, where applicable, additional fees.

18. Budget Estimates

McGraw Interiors will make reasonable efforts to design within the client's stated budget.

However, preliminary budgets and estimates are not guarantees of final project cost.

Actual costs may change because of product selections, price increases, taxes, freight, delivery, labor, construction changes, product substitutions, additional client requests, unforeseen conditions, or other factors.

19. Taxes

Applicable sales, use, or other taxes will be charged or handled as required by Washington law.

Tax treatment may differ depending upon whether McGraw Interiors is providing professional design services, selling tangible personal property, arranging purchases as an agent, or providing other taxable services.

Applicable taxes may be separately stated on invoices where required.

20. Intellectual Property and Design Ownership

Unless otherwise agreed in writing, McGraw Interiors retains ownership of its original design concepts and creative materials, including drawings, renderings, floor plans, mood boards, presentations, specifications, concepts, photographs created by McGraw Interiors, and other design documentation.

Upon full payment, the client receives permission to use the final design materials for the specific project for which they were created.

Design materials may not be reproduced, resold, distributed, commercially exploited, or used for another property or project without prior written permission from McGraw Interiors.

21. Photography and Portfolio Use

McGraw Interiors may request permission to photograph completed projects for its portfolio, website, social media, advertising, publications, awards, and other promotional purposes.

Where required or agreed, McGraw Interiors will obtain the client's permission before photographing or publicly identifying a private residence.

Unless specifically authorized, McGraw Interiors will make reasonable efforts not to publish personally identifying information such as a residential street address.

22. Website Content

The content of the McGraw Interiors website is provided for general informational and promotional purposes.

Photographs, designs, renderings, text, graphics, logos, branding, layouts, and other website content may be protected by copyright, trademark, or other intellectual-property laws.

Website visitors may not reproduce, modify, distribute, sell, publish, or commercially exploit McGraw Interiors content without prior written authorization.

23. Third-Party Websites

The McGraw Interiors website may contain links to manufacturers, vendors, social media platforms, publications, or other third-party websites.

McGraw Interiors does not control these websites and is not responsible for their content, privacy practices, security, availability, products, or services.

24. Limitation of Liability

To the fullest extent permitted by applicable law, McGraw Interiors will not be responsible for indirect, incidental, special, exemplary, or consequential damages arising from circumstances outside its reasonable control.

McGraw Interiors is not responsible for losses caused solely by manufacturers, shipping carriers, independent contractors, vendors, installers, supply-chain interruptions, client-provided information, or other independent third parties, except to the extent responsibility is imposed upon McGraw Interiors by applicable law.

Nothing in these Terms is intended to waive or limit any right or remedy that cannot lawfully be waived or limited.

25. Force Majeure

McGraw Interiors will not be considered in breach of its obligations for delays or failure to perform caused by circumstances beyond its reasonable control, including severe weather, natural disasters, fire, flood, labor disruptions, governmental actions, epidemics or public-health emergencies, transportation disruptions, supply shortages, manufacturer delays, utility failures, or similar events.

26. Project Suspension or Termination

Either party may terminate a design engagement in accordance with the applicable project agreement.

Upon termination, the client remains responsible for amounts properly due for services performed, approved purchases, noncancelable orders, vendor commitments, restocking or cancellation charges, reimbursable expenses, and other obligations incurred on the client's behalf before termination, subject to applicable law and the project agreement.

McGraw Interiors may suspend or terminate services for nonpayment, unsafe site conditions, unlawful requests, abusive or threatening conduct, persistent failure to provide required approvals, or material breach of the project agreement.

27. Governing Law

These Terms and any services provided by McGraw Interiors will be governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Unless otherwise required by applicable law or agreed in writing, disputes relating to these Terms or McGraw Interiors' services will be brought in a court of competent jurisdiction located in King County, Washington.

28. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be interpreted or limited to the extent necessary to make it enforceable where legally permitted.

The remaining provisions will continue in effect.

29. No Waiver

A failure by McGraw Interiors to enforce a provision of these Terms on one occasion does not constitute a waiver of the right to enforce that provision in the future.

30. Changes to These Terms

McGraw Interiors may update these website Terms from time to time.

The updated version will become effective when posted with a revised effective date. Changes will not retroactively alter an existing signed project agreement unless permitted by that agreement or agreed to by the parties.

31. Entire Agreement

For design clients, these Terms, together with the applicable signed proposal, scope of work, invoice terms, change orders, and other written project agreements, constitute the agreement between McGraw Interiors and the client concerning the applicable services.

If a signed project agreement expressly conflicts with these general Terms, the signed project agreement will control with respect to that project.
